Terms of Service
Introduction
These Terms of Service ("Terms") govern your access to and use of the MINGO platform, website, and services provided by Mingo Technologies Ltd ("MINGO", "we", "us", "our"). By creating an account or using our services, you agree to these Terms. If you do not agree, you must not use our services.
We may update these Terms from time to time. Continued use of our services after changes are published constitutes acceptance of the updated Terms.
What MINGO Is
MINGO is a ticketing platform that enables event organisers to create, sell, and manage tickets, and enables fans to purchase, hold, transfer, and use tickets. Tickets on MINGO are digital assets whose state is recorded on the Hedera distributed ledger.
MINGO is a technology provider. We are not an event organiser, promoter, or venue. We do not organise the events listed on our platform.
Relationship Between Parties
When you purchase a ticket, your contract for event attendance is with the event organiser, not with MINGO. MINGO facilitates the transaction and provides the technology infrastructure. Organisers are responsible for the event itself, including any cancellation or rescheduling.
User Accounts
You must be at least 16 years old to create an account. By registering, you confirm that the information you provide is accurate and that you will keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
Tickets and Digital Assets
Tickets issued on MINGO are digital records whose state is managed on the Hedera network. Each ticket exists in one of four states: Issued, Owned, Transferred, or Validated.
Tickets are non-fungible. Each ticket represents a specific entitlement to a specific event, tier, and seat or standing area where applicable. Tickets cannot be duplicated.
A ticket grants you a licence to attend an event, subject to the organiser's rules and these Terms. It does not convey any intellectual property rights, ownership in the organiser's business, or any other rights beyond event attendance.
Wallet and Asset Control
Every MINGO account is paired with a Hedera wallet managed by our platform. Unlike self-custodial wallets, you do not hold the private keys directly. MINGO manages the wallet on your behalf to provide a frictionless experience.
Ticket assets in your account can only be transferred or used in accordance with the rules set by the organiser at the time of ticket creation. MINGO does not override organiser-configured rules.
Payments
Ticket prices are set by event organisers. MINGO may charge a service fee on top of the face value. All fees are displayed clearly before purchase.
Payments are processed via our payment provider. By completing a purchase, you authorise the charge to your payment method. All prices are in the currency displayed at the time of purchase.
Refunds and Cancellations
Refund policies are set by event organisers and are displayed on the event listing. MINGO does not independently offer refunds unless required by law.
If an event is cancelled by the organiser, refunds will be processed in accordance with the organiser's stated policy. MINGO will facilitate the refund process where technically possible.
Service fees charged by MINGO are generally non-refundable except where required by applicable consumer law.
Resale and Transfers
Where enabled by the organiser, tickets may be resold or transferred on the MINGO platform. Resale and transfer activity is subject to the rules set by the organiser at ticket creation, including price caps, maximum ticket limits, and transfer windows.
Resale activity outside of the MINGO platform is not permitted. Attempting to circumvent platform controls is a breach of these Terms and may result in ticket invalidation.
MINGO takes a commission on secondary market transactions as configured by the organiser and displayed at the point of resale.
Blockchain Limitations
Ticket state records written to the Hedera ledger are permanent and cannot be altered or deleted. This is an inherent property of distributed ledger technology and is not a defect.
MINGO is not responsible for delays or failures in ledger settlement caused by network conditions outside our control.
Event Access and Entry
Entry to an event is subject to the ticket being in a valid state at the time of scanning. A ticket that has been transferred, previously validated, or is otherwise invalid will not grant entry.
Event organisers have the right to refuse entry for any reason permitted by applicable law, including intoxication, aggressive behaviour, or failure to comply with venue rules. MINGO is not responsible for refusals made by organisers or venues.
Acceptable Use
You may not use the MINGO platform to:
- Purchase tickets for the purpose of resale above the permitted cap
- Use automated tools, bots, or scripts to interact with the platform
- Attempt to duplicate, counterfeit, or invalidate any ticket
- Access or interfere with accounts belonging to other users
- Upload or transmit malicious code or attempt to compromise our systems
- Impersonate any person or misrepresent your identity or affiliation
- Engage in any activity that violates applicable law
Intellectual Property
All content on the MINGO platform, including text, graphics, logos, software, and interface design, is the intellectual property of Mingo Technologies Ltd or its licensors. You may not reproduce, distribute, or create derivative works without our written permission.
By uploading content to our platform (such as event images), you grant us a non-exclusive, royalty-free licence to use that content in connection with operating and promoting the platform.
Liability
To the maximum extent permitted by law, MINGO's liability for any claim arising from your use of the platform is limited to the amount you paid for the relevant transaction.
MINGO is not liable for: events being cancelled, postponed, or modified by organisers; your inability to attend an event; or losses caused by your failure to comply with these Terms.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Indemnity
You agree to indemnify and hold harmless MINGO and its directors, employees, and agents from any claims, damages, or costs (including legal fees) arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights.
Governing Law
These Terms are governed by the laws of Gibraltar. Any disputes arising from these Terms or your use of the platform will be subject to the exclusive jurisdiction of the courts of Gibraltar.
